a) Carmada is the owner and operator of the Website and all services provided.

a) The Website provides information and access to vehicle-buying facilitation services, including introductions to vehicle suppliers and licensed third-party service providers.

3.1 Lawful & Responsible Use
a) You must use the Website and services lawfully and in accordance with these Terms.
b) Prohibited activities include, but are not limited to:

Carmada may pause, re-scope, or cease services where delays or inaccuracies materially affect delivery. You acknowledge Carmada may rely on information you provide and is not responsible for outcomes driven by incorrect or incomplete information.
6. Engagement & Payment
6.1 Service Engagement
a) To engage our services, you must follow our process and provide required information and documentation.
b) A contract is only formed once Carmada confirms acceptance of your engagement and the services to be delivered.
c) Engagement of Carmada does not create a contract for the supply of a vehicle or credit. Any vehicle purchase or finance arrangement is entered into directly between the customer and the relevant third-party supplier or licensed provider.
6.2 Payment Terms
a) Payment (where applicable) must be made in full using accepted methods.
b) Unless otherwise stated in writing, service or commitment fees are non-refundable once the relevant service has commenced. If Carmada declines to accept an engagement after payment, Carmada will refund the relevant fee less any reasonable costs incurred in assessing or commencing the service, to the extent permitted by law.
c) Submission of a request or payment does not guarantee engagement or acceptance by Carmada.
(d) Chargebacks: You must contact Carmada first to attempt to resolve any billing dispute before initiating a chargeback. Unresolved chargebacks may result in suspension of services.
7. Vehicle Pricing, Availability & Procurement
7.1 Pricing & Availability
Vehicle pricing, offers, lead times, and availability are determined by third-party suppliers and may change without notice. Any pricing, savings, or availability information provided by Carmada (including on the Website) is indicative only and must be confirmed in writing by the relevant supplier. Carmada does not warrant that any particular price, discount, delivery timeframe, or vehicle specification will be available.
7.2 Procurement Services
a) Carmada acts as an intermediary and facilitator only and does not act as your agent, a dealer’s agent, or a financier’s agent unless expressly agreed in writing. Carmada does not have authority to bind any dealer or financier, or to bind you, to any contract.
b) Vehicle sourcing may be performed by Carmada directly or by third-party suppliers introduced by Carmada. Carmada may assist with coordination, information sharing, and negotiation support but does not guarantee vehicle availability, pricing, delivery timeframes, or outcomes.
c) Carmada does not handle vehicle contracts, deposits, purchase monies, or settlement funds unless expressly agreed in writing.
(d) Any contract for the supply of a vehicle or credit is made directly between you and the relevant dealer or licensed finance provider. Carmada is not a party to those contracts and is not responsible for their performance.
7.3 Service Scope, Licensing & Exclusions
a) New-Vehicle Focus: Carmada acts solely as a negotiator and introducer for the purchase of new motor vehicles. We do not buy, sell, broker, or consign used vehicles of any kind.
b) Trade-In Clarification: Any discussion of a potential trade-in value is conducted only to assist in securing the most competitive price for the new vehicle. Carmada does not arrange, advertise, or sell used vehicles on behalf of customers. Trade-in negotiations are completed directly between the buyer and the licensed dealer.
c) Finance Referrals: Carmada does not provide credit or financial advice. Where finance is requested, Carmada may introduce customers to licensed third-party credit providers or brokers. All credit assistance and finance services are provided by those third parties under their own licences and terms.
d) Licensing Status: Carmada does not sell vehicles, trade in used vehicles, or provide credit. Carmada’s role is limited to facilitation and introductions in connection with new-vehicle purchases.
e) No Agency for Dealers: Carmada acts independently and is not an agent or representative of any vehicle manufacturer, dealer, or financier.
7.4 Service timeframes and dependencies
Any timeframes stated on the Website or in communications (including any service level promises) are estimates unless expressly stated as a guarantee under separate written promotional terms. Timeframes may be affected by factors outside Carmada’s control including customer response times, finance approval timelines, dealer participation, stock availability, allocation limits, and third-party outages.
8. Promotional Offers & the Carmada ActiveArmour™ Guarantee
8.1 Promotional Offers
a) Carmada may, from time to time, provide special offers or guarantees, including the Carmada ActiveArmour™ Guarantee.
b) Each promotional offer is governed by its own specific terms and conditions.
(c) Full terms for the Carmada ActiveArmour™ Guarantee are published on the Website at the relevant guarantee page.
(d) If these Terms conflict with the specific terms of a promotional offer, the promotional offer terms prevail to the extent of the inconsistency for that offer.
8.2 No Implied Guarantees
Except where expressly stated in the Carmada ActiveArmour™ Guarantee or another written promotional offer, Carmada does not provide any guarantees, service level commitments, or performance warranties in relation to timing, pricing, availability, or outcomes.
9. Service Limitations, Liability & Indemnity
9.1 Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law or other applicable law that cannot be excluded. Where permitted, Carmada’s liability is limited as set out in these Terms.
9.2 Limitation of Liability
(a) To the maximum extent permitted by law, Carmada’s aggregate liability to you arising out of or in connection with the Website or services is limited to (at Carmada’s option):
(i) resupplying the services; or
(ii) paying the cost of having the services resupplied; or
(iii) where you have paid fees to Carmada in the preceding 12 months, an amount not exceeding those fees.
b) We are not liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunity.
9.3 Exclusions
a) Carmada is not liable for:
- Disputes or transactions between you and third parties (e.g., dealers, financiers)
- The accuracy or completeness of information, including AI-generated content
- Unauthorised access to or corruption of your data
- Losses due to events outside our control (“force majeure”)
9.4 Indemnity
a) You agree to indemnify Carmada, its directors, officers, employees, and agents against any claims, losses, damages, or expenses (including legal fees) resulting from your breach of these Terms, misuse of the Website or services, or violation of any law or third-party rights.
10. Privacy & Data Protection

If unresolved, either party may refer the dispute to arbitration in Queensland under the Commercial Arbitration Act 2013 (Qld).
